These Terms of Service ("Terms") govern your use of the services offered by Maison Jeanjean FZE LLC, License Number 262311466888, CWS-1V-154069 ("Maison Jeanjean", "Company", "we", "us", or "our"), through our website, social media platforms, communications channels, and related services (collectively, the "Services").

By accessing or using our Services, you agree to be bound by these Terms. If you do not agree to these Terms, please do not use our Services.

1. Business Nature and Wholesale Terms

Maison Jeanjean operates as a business-to-business (B2B) wholesale trading company specializing in perfumes, incense, fashion items, and other luxury goods. Our services are exclusively for business clients seeking wholesale purchases and not for individual consumers.

  • We maintain a minimum order quantity (MOQ) of 500 units per order, subject to product availability.
  • All pricing, product specifications, and availability information are subject to change without prior notice.
  • Product images and descriptions on our website and marketing materials are for reference only. Actual products may vary slightly.

2. Order Process and Confirmation

All orders placed through our forms, website, or direct communications are subject to acceptance by Maison Jeanjean. We reserve the right to reject any order for any reason at our sole discretion.

  • Orders are only confirmed after receipt of an official order confirmation from our authorized representatives.
  • Quotations provided are valid for 14 days from the date of issuance unless otherwise specified.
  • We may require additional business verification, including but not limited to business licenses, tax identification numbers, and other relevant documentation before accepting orders.

3. Payment Terms

We accept payment via bank transfer, letter of credit, or other methods as specified in our order confirmation. Payment terms are as follows:

  • 50% advance payment upon order confirmation, with the remaining 50% due before shipment, unless different terms are agreed upon in writing.
  • All bank charges, transaction fees, and currency conversion costs are the responsibility of the buyer.
  • Late payments may result in order delays, cancellations, or additional charges.

4. Delivery and Shipping

Maison Jeanjean ships worldwide from our facilities in the UAE. Shipping terms include:

  • Delivery timeframes are estimates only and are not guaranteed. Actual delivery times may vary based on destination, customs clearance, and other factors.
  • Unless otherwise specified, shipping costs, insurance, customs duties, import taxes, and other related expenses are the responsibility of the buyer.
  • Risk of loss or damage transfers to the buyer upon delivery to the carrier, unless otherwise specified in writing.

5. Inspection and Returns

Buyers are responsible for inspecting all delivered goods promptly:

  • Any claims regarding product quality, quantity discrepancies, or damage must be reported in writing within 7 days of receipt.
  • Returns are accepted only for manufacturing defects and must be approved in writing by Maison Jeanjean prior to return shipment.
  • Returned items must be in their original packaging, unused, and in resalable condition.
  • Return shipping costs are the responsibility of the buyer unless the return is due to a verified error by Maison Jeanjean.

6. Intellectual Property

All content on our website, social media accounts, and marketing materials, including text, graphics, logos, images, audio clips, and software, is the property of Maison Jeanjean or its content suppliers and is protected by international copyright laws.

  • Unauthorized use, reproduction, or distribution of our intellectual property is strictly prohibited.
  • Customers may use our product images for reselling purposes only after obtaining written permission.
  • Private label agreements are subject to separate terms and conditions to be agreed upon in writing.

7. Confidentiality

All business communications, pricing information, product specifications, and other non-public information shared during the course of our business relationship are confidential:

  • Both parties agree not to disclose confidential information to third parties without prior written consent.
  • This confidentiality obligation survives the termination of our business relationship.

8. Limitation of Liability

Maison Jeanjean's liability is limited to the value of the products purchased:

  • We shall not be liable for any indirect, incidental, special, or consequential damages arising out of or in any way connected with the use of our Services or products.
  • In no event shall our total liability exceed the amount paid by the customer for the specific products giving rise to such liability.
  • We disclaim all warranties, express or implied, including but not limited to implied warranties of merchantability and fitness for a particular purpose.

9. Force Majeure

Maison Jeanjean is not liable for any failure or delay in performance due to circumstances beyond our reasonable control, including but not limited to:

  • Natural disasters, acts of God, or extreme weather conditions
  • War, terrorism, civil unrest, or government actions
  • Strikes, labor disputes, or other industrial disturbances
  • Epidemics, pandemics, or public health emergencies
  • Transportation disruptions, power outages, or telecommunications failures

10. Governing Law and Dispute Resolution

These Terms shall be governed by and construed in accordance with the laws of the United Arab Emirates, specifically those applicable in the Emirate of Ajman:

  • Any dispute arising out of or in connection with these Terms shall be settled through amicable negotiation between the parties.
  • If no resolution is reached within 30 days, the dispute shall be referred to the competent courts in Ajman, UAE.

11. Modifications to Terms

Maison Jeanjean reserves the right to modify these Terms at any time:

  • Updated Terms will be posted on our website with the effective date clearly indicated.
  • Continued use of our Services after such modifications constitutes acceptance of the revised Terms.
  • It is the customer's responsibility to review these Terms periodically for changes.
